Please read these Terms of Service (the “Agreement”) carefully before accessing or using the services offered by Bethel Therapy LLC (“Bethel Therapy,” “Company,” “we,” “us,” or “our”), the operator and billing entity for the TherapyAlly platform.
This Agreement is between Bethel Therapy LLC and the practice, clinic, sole practitioner, or other legal entity that purchases or uses the Services (the “Customer”). By creating an account, executing an Order Form, accessing an API, or otherwise using the Services on Customer’s behalf, you agree to this Agreement. If you accept it for an organization, you represent that you have authority to bind that organization.
TherapyAlly is a cloud-based practice-management and clinical-enablement platform. The Services covered by this Agreement include:
Bethel Therapy LLC is the commercial provider and billing entity for TherapyAlly. Customer’s plan, included features, authorized usage, and any negotiated terms are shown in the applicable checkout, Order Form, product schedule, or written agreement. If an Order Form conflicts with this Agreement, the Order Form controls for that Customer.
Customer may authorize practice administrators, clinicians, workforce users, billers, contractors, clients, parents, guardians, and other permitted users (“Authorized Users”) to access appropriate parts of the Services. Customer is responsible for assigning suitable roles, maintaining accurate user information, and promptly removing access that is no longer required.
Customer is responsible for activity under its accounts, safeguarding passwords, API keys, tokens, and authentication devices, and managing provisioning and de-provisioning in any configured identity provider. Customer must promptly notify us of suspected unauthorized access or account compromise.

Bethel Therapy LLC provides administrative, documentation, billing, communication, and automation technology. It is not a healthcare provider, medical group, or clinical practice and does not provide diagnosis, treatment, or professional clinical advice.
Customer and its clinicians remain solely responsible for:
Allie and other AI-assisted features may help Authorized Users find scheduling, client, eligibility, claim, remittance, billing, and workflow information or create documentation drafts and administrative suggestions (“AI Outputs”). AI Outputs are generated by probabilistic systems and may be incomplete, inaccurate, outdated, or unsuitable for a particular situation.
Authorized Users must independently review and verify AI Outputs before relying on them, signing documentation, adding information to a client record, submitting a claim, or taking another consequential clinical or financial action. AI Outputs are not independent clinical, legal, coding, insurance, or financial advice and are not a substitute for professional judgment.
TherapyAlly Practice follows a step-based plan structure: Practice Essentials provides core practice operations and Allie; Practice + Insurance adds insurance-billing workflows; and Practice Complete adds Channel early access, workforce workflows, supervision, and Square Payroll integration. The current Pricing page, checkout, or Order Form states the applicable fees, included clinician access, add-ons, and billing period. One subscription applies to each practice tax entity unless an Order Form states otherwise.
Recurring subscriptions renew for the billing period shown at checkout or in the Order Form until canceled. Customer may cancel through available account settings or by written notice using the contact information below. Unless otherwise stated in an Order Form, cancellation is effective at the end of the current paid billing period.
Customer must pay disclosed subscription and add-on fees and applicable taxes. We will disclose any usage-based or third-party charges before they apply. Fees already paid are non-refundable except where this Agreement, an Order Form, or applicable law provides otherwise.
Stripe supports integrated client payments. Square Payroll may receive approved payroll information from Practice Complete. Claim.MD serves as the third-party insurance clearinghouse for payer information, eligibility requests, claim submission, and electronic remittance advice (ERA). These providers operate under their own agreements and service terms. Bethel Therapy LLC is not a bank, card processor, insurer, insurance clearinghouse, or payroll provider and is not responsible for third-party outages, underwriting or coverage decisions, chargebacks, payer processing, or banking delays.
Where enabled, Channel may provide secure messaging, virtual waiting rooms, voice, video, screen sharing, transcription, translation, recording artifacts, and communication event history. Customer must obtain and document legally required participant notice and consent for telehealth, electronic communications, recording, and transcription, and must comply with applicable privacy, recording, telecommunications, and professional rules.
TherapyAlly and Channel are not emergency services and must not be used as a substitute for 911, crisis response, or emergency medical care. Customer is responsible for its telehealth emergency procedures, including verifying client location and appropriate emergency contacts when required.
Early-access services may change, contain defects, have limited support or availability, and may be modified or discontinued before general release. Unless an Order Form states otherwise, early-access services are provided without a service-level commitment. Feedback may be used to improve the Services without payment or obligation to Customer.
Use of the Services is also governed by the Privacy Policy, applicable Order Forms, and any executed Business Associate Agreement (“BAA”) or security addendum. To the extent Bethel Therapy LLC processes Protected Health Information (“PHI”) as a business associate, the parties will enter into a BAA when required by law. If these documents directly conflict regarding PHI, the BAA controls.
As between the parties, Customer retains its rights in records, clinical notes, communications, billing information, and other information submitted to or created in the Services (“Customer Data”). Customer grants Bethel Therapy LLC a non-exclusive license to host, copy, process, transmit, and display Customer Data only as necessary to provide, secure, maintain, and support the Services, follow Customer’s instructions, or comply with law.
We may create and use aggregated or de-identified information for security, service analytics, and product improvement only when permitted by applicable law and the BAA. PHI will be treated as de-identified only through an applicable HIPAA method. We will not use Customer Data or PHI to train a general-purpose AI model except as expressly authorized by Customer in writing and permitted by applicable law and the BAA.
We use reasonable administrative, technical, and physical safeguards designed to protect Customer Data. No system is completely secure. Each party will meet its incident and breach-notification obligations under applicable law and any BAA or security addendum.
Customer is responsible for determining the retention period required for its clinical and business records. We retain and delete Customer Data according to Customer instructions, available product settings, the applicable agreement or BAA, our retention schedule, and applicable law. Customer should export required records before termination. After the applicable post-termination retrieval period, we may delete or de-identify Customer Data, subject to legal holds, backups, and other legal obligations.
We use commercially reasonable efforts to operate the Services reliably but do not guarantee uninterrupted availability unless an Order Form expressly provides a service level. We may suspend access when fees are materially overdue, use violates this Agreement or law, or continued access presents a security, legal, or operational risk. We will provide notice and an opportunity to cure when reasonably practicable.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BETHEL THERAPY LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ERROR-FREE, THAT COMMUNICATIONS WILL BE UNINTERRUPTED, OR THAT THE SERVICES ALONE WILL SATISFY CUSTOMER’S CLINICAL, PAYER, OR REGULATORY OBLIGATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETHEL THERAPY LLC WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM. BETHEL THERAPY LLC’S TOTAL AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT OR THE SERVICES WILL NOT EXCEED THE FEES CUSTOMER PAID FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Customer will defend and indemnify Bethel Therapy LLC and its members, managers, officers, employees, and agents against third-party claims, damages, fines, and reasonable legal costs arising from Customer’s clinical care, failure to obtain required consent, unauthorized or unreviewed use of AI Outputs, violation of professional or communications law, or material breach of this Agreement.
Bethel Therapy LLC and its licensors retain all rights in the Services, software, documentation, designs, and TherapyAlly brands. Customer may use the Services only during its authorized subscription. If Customer provides feedback, Bethel Therapy LLC may use it to improve the Services without restriction or payment, provided the feedback does not grant us ownership of Customer Data.
Massachusetts law governs this Agreement without regard to conflict-of-law principles. Any permitted court proceeding must be brought in the state courts located in Massachusetts or the United States District Court for the District of Massachusetts.
We may update this Agreement by posting an updated version and revising the “Last modified” date. We will provide reasonable advance notice of material changes through the Services, email, or another appropriate channel. The notice will state when the changes take effect. If Customer does not agree, it must stop using the affected Services and may cancel as provided above.
This Agreement, applicable Order Forms, the Privacy Policy, and any executed BAA or addendum form the entire agreement for the Services and supersede prior discussions about them. Customer may not assign this Agreement without our written consent, except in connection with a merger or sale of substantially all its assets. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
